ARTICLE 1 – INTRODUCTION AND ACCEPTANCE

1.1 Contractual Relationship

Welcome to StageVibes.com. These Terms of Service ("Terms") constitute a legally binding contractual agreement between StageVibes.com, its owners, operators, parents, subsidiaries, affiliates, successors, permitted assigns, employees, independent contractors, and authorized representatives (collectively, "StageVibes.com," "we," "our," or "us") and any individual, entity, or organization accessing, browsing, registering for, or otherwise utilizing the StageVibes website (www.stagevibes.com), mobile applications, proprietary software, application programming interfaces (APIs), digital products, content feeds, and related technologies (collectively, the "Platform").

By downloading, installing, accessing, browsing, creating an account, purchasing goods or services, uploading digital assets, or otherwise engaging with the Platform, you explicitly acknowledge that you have read, understood, and agree to be bound by these Terms, as well as any applicable local, national, or international laws and regulations. If you are entering into these Terms on behalf of a business, organization, or entity, you represent and warrant that you possess the requisite legal authority to bind such entity to these provisions. If you do not agree with or cannot comply with these Terms in their entirety, you must immediately cease all access to and use of the Platform.

1.2 Additional Agreements and Incorporation by Reference

To fully utilize the diverse ecosystem of the Platform, your activities may be governed by additional specialized agreements, legal frameworks, and operating policies. These include, but are not limited to:

  • Privacy Policy: Governing the collection, processing, and distribution of personal data. See our Privacy Policy.
  • Copyright and Intellectual Property Policy: Detailing DMCA takedown procedures and rights management.
  • Seller/Vendor Agreement: Governing commercial transactions, commissions, and marketplace sales. See our Dedicated Seller Agreement.
  • Community Standards & Content Guidelines: Defining acceptable behaviour and user-generated content rules.
  • Event Ticketing Policies: Outlining ticket distribution, refunds, cancellations, and venue compliance.
  • Payment Processing Terms: Governing interactions with third-party payment gateways (e.g., Stripe, PayPal).

All such policies, guidelines, and secondary agreements are hereby explicitly incorporated into these Terms by reference. In the event of any direct conflict between these overarching Terms and a specialized secondary policy, the specialized policy shall govern solely with respect to its specific subject matter.

1.3 Modifications to the Terms

StageVibes reserves the right, at its sole and absolute discretion, to amend, modify, replace, append, or update these Terms, or any incorporated policies, at any time to reflect changing legal, technical, operational, or commercial requirements.

When material changes are made that impact your legal rights or obligations, StageVibes will make commercially reasonable efforts to notify you in advance. Notification methods may include:

  • Sending an email to the address associated with your registered account.
  • Displaying a prominent banner notification or splash screen upon login or on the homepage of the Platform.
  • Push notifications through our mobile application interfaces.
  • Updating the "Last Updated" date displayed at the top of this document.

Non-material amendments or administrative updates may be made without prior notice and will be effective immediately upon publication. Your continued access or use of the Platform following the effective date of any modification constitutes your definitive and legally binding acceptance of the revised Terms. If you object to any structural modifications, your sole remedy is to close your account and cease using the Platform.

ARTICLE 2 – DEFINITIONS

For the purposes of these Terms, the following capitalized terms shall have the distinct meanings ascribed below:

  • 2.1 Account: Refers to the unique, personalized digital profile, portal, and credentials created by a user to access the password-protected, premium, or interactive features of the Platform.
  • 2.2 Artist: Means any individual, band, musical ensemble, performing arts group, cultural organization, content creator, record producer, songwriter, visual designer, or authorized rights holder who registers on the Platform to showcase talent, upload creative media, network, or offer services.
  • 2.3 Buyer: Refers to any registered User or guest consumer who browses, selects, licenses, or purchases Digital Content, physical merchandise, event tickets, subscriptions, or professional services through the transactional mechanisms of the Platform.
  • 2.4 Content: Means all user-generated or platform-provided materials including, but not limited to, master sound recordings, underlying musical compositions, audio files, full-length albums, music videos, behind-the-scenes footage, promotional photographs, digital images, trademarks, logos, brand artwork, textual biographies, event listings, community reviews, blog comments, system messages, downloadable documents, metadata strings, and related promotional assets.
  • 2.5 Digital Content: Encompasses all digital format products made available for streaming, transmission, conditional access, or permanent download through the Platform, including but not limited to audio tracks, digital albums, music videos, educational tutorials, masterclasses, performance sheets, and downloadable digital art files.
  • 2.6 Event Presenter: Means any User, independent promoter, talent booker, festival organizer, cultural institution, non-profit organization, corporate sponsor, venue owner, or production company that utilizes the Platform to publish professional opportunities, performance listings, job openings, casting calls, auditions, showcase slots, workshops, or conferences.
  • 2.7 Marketplace: Refers to the suite of e-commerce, peer-to-peer facilitation tools, and transaction processing services provided by StageVibes that enable commercial engagements between Users, including music sales, ticket distribution, live-talent booking, service procurement, merchandise sales, and corporate sponsorship matchmaking.
  • 2.8 Seller: Means any User, Artist, Event Presenter, or entity that lists, advertises, markets, distributes, or offers products, digital assets, performance services, tickets, or professional opportunities for monetary compensation or contractual exchange via the Marketplace.
  • 2.9 Storage Plan: Refers to any tier of paid, subscription-based, or allocated cloud digital storage space purchased by a User on StageVibes to upload, archive, host, and distribute high-fidelity audio, video, and portfolio media assets.
  • 2.10 User: Means any individual, corporate representative, business entity, or automated browsing system that accesses, views, interacts with, downloads from, or uses the Platform, regardless of whether they have registered a formal Account.

ARTICLE 3 – ELIGIBILITY AND LEGAL CAPACITY

3.1 Legal Capacity and Authority

By accessing or using the Platform, you explicitly represent, warrant, and covenant that you possess the full legal right, power, and capacity to enter into, execute, and perform your obligations under these Terms. You confirm that you are not subject to any pre-existing contractual restriction, judicial injunction, or legal disability that would prevent you from entering into a valid, legally enforceable contract.

3.2 Minimum Age Requirements

The Platform is intended exclusively for adults and legally competent individuals. You must be at least eighteen (18) years of age to register an Account or engage in commercial transactions independently. If an individual is under the age of eighteen (18) but is at least the minimum age of digital consent in their jurisdiction (e.g., 13 or 16 depending on local laws), they may only access the Platform under the strict supervision, guidance, and express permission of a parent or legal guardian. In such instances, the parent or legal guardian must create the Account, register as the primary user, and agrees to accept full civil and financial liability for all activities, content uploads, contractual commitments, and transactions executed by the minor via the Platform. Accounts belonging to minors operating without verified parental supervision are subject to immediate, permanent termination without notice.

3.3 Corporate and Entity Representation

If you are creating an Account, submitting content, or conducting business on the Platform on behalf of a corporation, partnership, non-profit organization, cultural foundation, festival committee, production company, or government entity:

  • You represent and warrant that you are an authorized representative, officer, agent, or director of that entity with the explicit legal authority to bind said entity to these Terms.
  • You agree that both you individually, and the represented entity, are jointly and severally liable for any breach of these Terms or legal disputes arising from your use of the Platform.

3.4 Geographic Restrictions and Availability

StageVibes operates its Platform from infrastructure based primarily in North America. We make no representations or warranties that the Platform, its Marketplace, or its contents are appropriate, legally permissible, or available for use in all global jurisdictions. Accessing the Platform from territories where its contents, services, or transactional features are illegal or restricted is strictly prohibited. Users who choose to access StageVibes from international locations do so on their own personal initiative and are solely responsible for local legal compliance.

3.5 Absolute Compliance with Applicable Laws

You agree to navigate, utilize, and transact through the Platform in strict accordance with all applicable local, regional, national, and international statutes, laws, ordinances, regulations, and treaties. This includes, but is not limited to, absolute compliance with:

  • Domestic and international copyright, trademark, and intellectual property laws.
  • Data protection, consumer privacy, and electronic communication laws (such as PIPEDA, GDPR, CCPA, and CASL).
  • Consumer protection, e-commerce, and fair-trading practices.
  • Independent contracting, employment, and labor regulations concerning talent procurement.
  • Local, state/provincial, and federal taxation reporting and withholding laws.
  • Immigration, visa, and cross-border work authorization requirements for physical international talent placement.
  • Export control laws and international economic sanctions programs.

ARTICLE 4 – USER ACCOUNTS, SECURITY, AND VERIFICATION

4.1 Account Registration Requirements

To unlock core features of the Platform—including creating a public profile, uploading media, listing events, or accessing the Marketplace—you must complete our registration process. You agree to provide current, accurate, complete, and verifiable information as prompted by the registration forms, and you agree to promptly update this information via your account dashboard to maintain its absolute accuracy at all times.

4.2 Account Security and Proactive Protection

Your Account is highly personal and non-transferable. You are solely responsible for protecting the confidentiality and security of your login credentials, including your unique username, alphanumeric password, and multi-factor authentication codes. You acknowledge and agree that:

  • You are fully responsible for any and all activities, communications, data uploads, and financial liabilities incurred under your Account, whether authorized by you or not.
  • You must not disclose your password to, or share your Account access with, any unauthorized third party.
  • You will notify StageVibes immediately at our designated support portal if you suspect, discover, or have reason to believe there has been a security breach, data leak, loss of credentials, or unauthorized access to your Account.
  • StageVibes will not be held liable for any loss, damage, or legal liability resulting from your failure to safeguard your login information.

4.3 Restriction on Multiple and Duplicate Accounts

To preserve the professional integrity, transparency, and reviews ecosystem of the digital entertainment marketplace, each individual user or distinct business entity is generally restricted to maintaining a single primary Account profile. StageVibes reserves the absolute right, in its sole discretion, to monitor user behaviors, IP addresses, and verification parameters, and to merge, suspend, truncate, or permanently delete duplicate or auxiliary accounts deemed to be manipulating the platform.

4.4 Identity and Rightsholder Verification

StageVibes reserves the right, but does not assume the obligation, to implement verification procedures at any time to maintain platform safety. We may request, and you agree to provide upon demand, satisfactory documentation to verify your legal identity and age (via government-issued photo identification); your corporate existence and active status (via articles of incorporation, business licenses, or registration papers); your tax status and residency (via W-8/W-9 forms, tax identification numbers, or VAT documents); your lawful ownership or exclusive licensing rights over uploaded music, media, or trademarks; and the validity and authorization of your designated third-party payment processing methods. Failure to provide the requested verification documents within the timeframe specified by StageVibes may result in the immediate restriction, freezing, withholding of marketplace payouts, or complete suspension of your Account.

4.5 Prohibition of False Representation and Impersonation

Honesty and transparency are foundational to the StageVibes community. Users are strictly prohibited from engaging in deceptive identity practices. You explicitly agree that you will not impersonate any real individual, prominent music artist, celebrity, public figure, or corporate entity; create false identities, use aliases designed to mislead, or pretend to represent an organization without express written permission; misrepresent your professional credentials, institutional affiliations, history of work, awards, or industry background; or falsify technical or academic qualifications, unions memberships, or industry status.

4.6 Professional Profiles and Portfolio Accuracy

Users may curate and publish highly detailed professional profiles showcasing their biographies, accolades, past performances, creative portfolios, and event histories. While StageVibes provides the technical tools to publish these assets, the User retains sole civil and legal responsibility for the accuracy, truthfulness, and lawful ownership of all claims, text, images, and media files embedded within their public profile.

ARTICLE 5 – PLATFORM SERVICES, ECOSYSTEM, AND STATUS

5.1 Overview of Platform Services

StageVibes provides a specialized, digital, cloud-based technology ecosystem designed to facilitate networking, collaboration, promotion, talent sourcing, and commercial transactions within the global music and entertainment industry. The core functionalities provided by the Platform include, but are not limited to:

  • Creating public, discoverable industry professional profiles and multimedia portfolios.
  • Talent discovery search engines, matchmaking algorithms, and promotional tools for artists.
  • Job portals, casting calls, booking requests, and event listings managed by Event Presenters.
  • E-commerce tools for independent music distribution, ticket sales, digital licensing, and physical merchandise.
  • Interactive community communication utilities, messaging systems, and secure industry networking channels.

5.2 Independent Platform Status and Legal Disclaimer

Crucial Notice on Legal Status: You explicitly acknowledge, understand, and agree that StageVibes operates exclusively as an intermediary technology platform provider. StageVibes is not a record label, talent agency, artist management firm, employment agency, labor union, certified booking agency, traditional music publisher, event promoter, legal advisor, or financial advisor. StageVibes is not a party to, has no control over, and assumes no liability under any external contracts, verbal agreements, gig bookings, employment offers, or licensing arrangements entered into between individual Users, Artists, Buyers, and Event Presenters. StageVibes does not screen, audit, guarantee, or validate the professional quality, safety, legality, moral character, financial solvency, or capability of any User. Any transactional arrangement or professional engagement initiated via the Platform is entered into solely at your own risk, and you must conduct your own independent due diligence.

5.3 No Employment, Agency, or Partnership Relationship

Nothing contained within these Terms, and no use of the Platform's services, shall be construed, interpreted, or implied to create any employment relationship, employer-employee status, agency, legal partnership, joint venture, master-servant, or franchise agreement between StageVibes and any User, Artist, or Event Presenter. Users operate as independent actors and are solely responsible for managing their own business operations, setting their own prices, acquiring their own work permits, and self-reporting all applicable income taxes.

5.4 Service Availability, Interruptions, and Modifications

While StageVibes strives to maintain high uptime and operational continuity for its global community, we do not guarantee continuous, uninterrupted, secure, or error-free access to the Platform. You acknowledge that the Platform may experience scheduled maintenance down-time, server upgrades, unexpected technical glitches, telecommunication failures, cyber-attacks, or force majeure events. StageVibes reserves the right, at its sole discretion and without prior liability, to alter, modify, upgrade, restrict, suspend, or permanently discontinue any feature, service tool, database, or portion of the Platform at any time.

5.5 "Beta" Features and Experimental Services

From time to time, StageVibes may offer specific users early access to experimental, trial, or preparatory system features clearly labeled as "Beta," "Pilot," "Test," or "Experimental." You acknowledge and agree that all such Beta features are provided strictly on an "As Is" and "As Available" basis, without warranties, guarantees, or indemnifications of any kind. Beta features may contain severe software bugs, coding errors, data tracking issues, or operational instabilities that could result in the loss of media files or tracking data. You utilize Beta features entirely at your own discretion and risk.

ARTICLE 6 – USER CONDUCT, PROHIBITED ACTIVITIES, AND INTEGRITY

6.1 Standard of Professional Conduct

As a dedicated professional network for the music, entertainment, and creative arts sectors, StageVibes requires all Users to maintain a high standard of professional etiquette, honesty, transparency, mutual respect, and civility across all communications, forum posts, direct messages, and commercial negotiations.

6.2 Prohibited Activities and Behavior

You explicitly agree that you will not engage in, assist with, or encourage any of the following prohibited behaviors on or through the Platform:

  • Fraud and Deception: Committing identity theft, processing unauthorized credit cards, operating fraudulent billing schemes, or engaging in bait-and-switch booking tactics.
  • Harassment and Abuse: Engaging in cyberstalking, trolling, sending unsolicited sexually explicit material, bullying, defaming, or intentionally insulting other users, artists, or staff.
  • Hate Speech and Discrimination: Uploading content or sending messages that promote violence, hatred, systemic discrimination, or degradation against any group or individual based on their race, ethnicity, national origin, religion, gender, sexual orientation, disability, or age.
  • Malicious Code and Intrusion: Distributing computer viruses, worms, Trojan horses, spyware, ransomware, or any other malicious software code intended to damage, disrupt, intercept, or expropriate system data or hardware.
  • Security Circumvention: Attempting to bypass, disable, crack, or circumvent the encryption, digital rights management (DRM), authentication gates, paywalls, or rate-limiting features of the Platform.
  • System Interference: Using automated bots, scrapers, spiders, or heavy script queries that impose an unreasonable technological burden on our server infrastructure, or attempting a Denial-of-Service (DoS) attack.

6.3 Prevention of Illegal and Criminal Activities

The Platform must never be used as a conduit for criminal enterprise. You are strictly prohibited from using StageVibes to organize, facilitate, execute, or obscure any illegal activities, including but not limited to money laundering; human trafficking; intellectual property theft; and terrorist activities.

6.4 Preservation of Platform Integrity and Metrics

The credibility of StageVibes relies on authentic metrics. Users are strictly prohibited from artificially manipulating the feedback, popularity, or transactional metrics of the Platform. Forbidden acts include operating "click farms," purchasing fraudulent automated plays, artificially inflating music streaming counters, creating fake Buyer accounts to post biased reviews, purchasing fraudulent followers, likes, shares, or professional endorsements, and engaging in keyword stuffing or metadata manipulation to unfairly tilt search algorithms.

6.5 Reporting Violations and Discretionary Enforcement

If you discover any Content or User behavior that violates these Terms, you are encouraged to immediately report it to StageVibes via our designated reporting tools. StageVibes reserves the absolute, final, and unreviewable discretion regarding what enforcement action, if any, is taken in response to a report. Our administrative enforcement remedies include, but are not limited to: issuing private warnings, removing offending Content, lowering search rankings, deleting fake metrics, withholding marketplace funds pending investigation, and executing immediate, permanent Account banishment. StageVibes reserves the right to cooperate fully with local law enforcement, judicial authorities, and intellectual property rightsholder organizations in the investigation of suspected criminal acts.

PART 2: MARKETPLACE, MUSIC SALES, CONTENT RIGHTS, STORAGE PLANS, PAYMENTS, AND REFUNDS

ARTICLE 7 – DIGITAL MUSIC AND CONTENT MARKETPLACE

7.1 Marketplace Services and Scope

StageVibes provides, maintains, and operates an interactive digital marketplace and e-commerce ecosystem designed to permit Users to sell, purchase, license, distribute, promote, stream, download, access, or otherwise exchange Digital Content through the execution of peer-to-peer transactions on the Platform. Digital Content includes, but is not limited to: individual musical singles, full-length digital albums, and compilations; master sound recordings, stems, multi-track audio files, and background loops; instrumentals, beats, sound effects, samples, and synthesizer presets; educational media, masterclasses, tutorials, sheet music, and instructional text; music videos, concert films, behind-the-scenes footage, and short-form video content; and digital visual art, promotional graphics, and downloadable merchandise files.

7.2 Independent Marketplace Role and Status Disclaimer

You explicitly acknowledge and agree that StageVibes operates strictly as an intermediary technology provider and marketplace facilitator. StageVibes provides the software infrastructure, hosting capacities, and transaction interfaces that enable Sellers and Buyers to interact, negotiate, and execute commerce. StageVibes is not a merchant of record, a joint venturer, an auctioneer, or a counterparty to any commercial transaction executed on the Platform. Any contract, sales agreement, or intellectual property license executed during a transaction is a direct, legally binding agreement solely between the respective Buyer and Seller. StageVibes is not a party to, an insurer of, or an arbiter under such bilateral consumer or commercial contracts.

7.3 Autonomy of Independent Transactions and Limitations of Liability

Because all marketplace transactions occur directly between independent Buyers and Sellers, StageVibes does not control, supervise, or assume civil or legal liability for the listed products. Specifically, you acknowledge that StageVibes does not examine, test, audit, or guarantee the technical quality of uploaded Digital Content; verify intellectual property ownership claims; guarantee authenticity or originality; guarantee commercial value or marketability; or warrant fitness for a particular purpose, commercial use case, synchronized broadcast, or third-party platform requirement.

ARTICLE 8 – CONTENT OWNERSHIP AND USER WARRANTIES

8.1 Retention of Creator Ownership

StageVibes deeply respects the intellectual property rights of independent creators. When an Artist or creator uploads, publishes, or distributes Content through the Platform, they retain full and absolute ownership of all their pre-existing copyrights, master rights, publishing rights, mechanical rights, performance rights, registered trademarks, moral rights, rights of publicity, and associated intellectual property assets. Nothing contained within these Terms, or your use of the Platform, shall operate to transfer, assign, convey, or alienate ownership of your original Content to StageVibes.

8.2 Comprehensive User Representations and Warranties

Every time you upload, transmit, stream, post, or list Content on the Platform, you extend a continuous, legally binding representation and warranty to StageVibes that you are the sole, lawful, and exclusive owner of all copyrights, master recordings, underlying compositions, and proprietary rights embedded within the Content; OR you possess all necessary, written, clear, and fully executed licenses, permissions, releases, waivers, and clearances from all relevant third-party rights holders required to lawfully host, stream, sell, and monetize the Content on a worldwide basis. You further represent that the Content does not infringe any copyright, trademark, privacy right, publicity right, recording agreement, management contract, publishing deal, union rule, or other third-party proprietary right.

8.3 Absolute Prohibition of Unauthorized Uploads

The uploading, sampling, interpolation, or distribution of unauthorized, pirated, or bootleg media is strictly prohibited. You must not upload or sell "covers" without appropriate mechanical licenses, or tracks containing uncleared audio samples, movie snippets, or orchestral recordings owned by third parties. Any violation constitutes a material breach of these Terms and will result in immediate removal of the offending material, freezing of marketplace balances, and permanent termination of your Account under our strict Intellectual Property Enforcement Policy.

ARTICLE 9 – LICENSE GRANTED TO STAGEVIBES

9.1 Limited Operational License

To enable StageVibes to lawfully provide its technology services, ingest digital media files, and fulfill your distribution commands, you hereby grant to StageVibes a worldwide, non-exclusive, transferable, sublicensable (through multiple tiers), royalty-free, fully paid-up license to host, store, archive, cloud-process, cache, reproduce, transcode, adapt, publicly perform, digitally transmit, stream, display, distribute, compress, and create automated backups of your Content. This operational license is strictly limited to operating, maintaining, delivering, securing, and improving the Platform, and to fulfill purchase delivery requests initiated by Buyers.

9.2 Institutional Promotional Rights

Unless a User explicitly opts out or adjusts their privacy settings within their account dashboard (where such toggle functionality is technically available), the User hereby grants to StageVibes a non-exclusive, worldwide, royalty-free license to utilize their public profile name, artist moniker, corporate logo, likeness, promotional imagery, and brief audio/video excerpts of uploaded Content for platform marketing, search indexing, metadata optimization, catalog discovery algorithms, general brand advertising, social media features, and "Featured Artist" promotional spotlights.

9.3 Survival of License Post-Account Closure

The operational license granted by the User to StageVibes under this Article shall survive the deletion, suspension, or closure of the User's Account solely to the extent legally or technically necessary to maintain access for Buyers who previously purchased or licensed the Content; fulfill uncompleted obligations; comply with statutory record-keeping or tax laws; and defend or manage ongoing legal disputes, copyright claims, or administrative investigations.

ARTICLE 10 – CONTENT RETENTION AFTER ACCOUNT DELETION

10.1 Purchaser Protection Framework

You explicitly acknowledge and agree that when a Buyer purchases a license to download, stream, or access your Digital Content, that Buyer acquires a distinct, vested contract right. Consequently, any Digital Content sold to a Buyer may continue to be securely stored, hosted, and maintained on StageVibes' cloud infrastructure after the selling Artist executes an account deletion, a manual content removal, or is subject to an administrative account suspension or platform termination.

10.2 Guaranteed Continued Access for Lawful Buyers

To protect consumer expectations and marketplace continuity, Buyers who have lawfully transacted and paid for Digital Content retain a perpetual, non-exclusive right to access, stream, re-download, and utilize their purchased assets through their personal cloud lockers or transaction history tabs on the Platform, notwithstanding the subsequent departure, deletion, or restriction of the original creating Artist.

10.3 Structural Preservation Rights

StageVibes reserves the absolute right to maintain administrative master copies and digital fragments of deleted or removed Content on its secure backup arrays and servers for fulfillment of download queues and streaming recovery; system-wide disaster recovery and historical data backup protocols; consumer protection verification and fraud auditing; and verifying contractual compliance under pre-existing sales agreements.

10.4 Waiver of Retroactive Removal Rights

Artists and Sellers explicitly acknowledge and agree that deleting a music file, portfolio project, or video from the Platform does not grant them a right to demand the retroactive removal, clawback, or destruction of digital copies already delivered to, or paid for by, lawful purchasers. You hereby waive any claim against StageVibes for the ongoing technical provisioning of access to past Buyers following your exit from the Platform.

ARTICLE 11 – STORAGE PLANS AND CLOUD ALLOCATIONS

11.1 Subscription-Based Storage Plans

To facilitate the upload and archiving of high-fidelity, uncompressed audio masters, multi-track stems, and high-definition video portfolios, StageVibes may offer paid, multi-tiered digital storage subscriptions ("Storage Plans"). These plans grant the user specific data hosting capacities on our cloud infrastructure subject to regular subscription fees.

You acknowledge and understand that the data storage allowances provided under our Storage Plans operate strictly as a fixed, maximum hosting capacity cap for each distinct active billing cycle.

11.3 Non-Rollover Storage Rule and Expiration

Unused storage capacity or unutilized data allocation space from any given billing cycle expires automatically at the conclusion of that specific billing period. Unused capacity does not roll over, accumulate, or additively compound into subsequent months; cannot be transferred, assigned, or sold to other accounts, users, or third parties; and has no independent monetary equivalence, residual value, or cash-out capability. Illustrative Example: If a User subscribes to a 10 Gigabyte (10GB) monthly Storage Plan, that User is permitted to host up to 10GB of active media files on the Platform during that billing cycle. If the User only uploads 4GB of data, the remaining 6GB of unutilized capacity does not accumulate or roll over to grant 16GB the following month; the cap remains strictly at 10GB for the subsequent billing cycle.

11.4 Non-Refundable Nature of Storage Fees

All recurring fees, setup costs, and upgrade payments associated with Storage Plans are completely non-refundable upon processing, regardless of your actual utilization of the cloud space, except in jurisdictions where local consumer protection statutes strictly mandate a cooling-off period or refund framework.

ARTICLE 12 – PAYMENTS, FINANCIAL TRANSACTIONS, AND TAXATION

12.1 Independent Third-Party Payment Processors

StageVibes integrates with secure, independent, third-party payment gateways and merchant processors (such as Stripe, PayPal, and specialized regional providers) to handle credit card processing, digital wallets, bank transfers, and automated marketplace payouts. By engaging in any financial transaction on StageVibes, you explicitly agree that you will review, accept, and comply with the respective terms, conditions, privacy policies, and service agreements of our designated payment processors; and that StageVibes does not store, process, or have direct visibility over your full credit card numbers or banking passwords, and is not responsible for errors, network failures, or security breaches occurring within the processor's proprietary systems.

12.2 Currency Conversion and Processing Rates

Marketplace transactions and subscription fees may be quoted, displayed, or processed in various global currencies depending on the geographic location of the user. You acknowledge that all foreign exchange rates, cross-currency conversion fees, and international transaction surcharges are determined, calculated, and levied entirely by your financial institution or our third-party payment providers. StageVibes assumes no liability for fluctuations in international exchange rates between the time of order placement and financial settlement.

12.3 Absolute Taxation Responsibility

Users assume sole, personal, and corporate liability for all tax compliance associated with their activities on the Platform. StageVibes will not calculate, withhold, or report income taxes on behalf of independent actors. You remain strictly and exclusively responsible for reporting and payment of all personal and corporate income taxes; calculation, collection, invoicing, reporting, and remittance of all applicable local consumption taxes (including sales taxes, VAT, GST, and HST); and complying with any applicable international withholding tax requirements or cross-border trade duties. To the extent required by law, StageVibes reserves the right to collect tax identification numbers and transmit mandatory annual financial reporting summaries to tax authorities.

12.4 Escrow, Payment Holds, and Transaction Investigation

StageVibes reserves the right, in its sole and absolute discretion, to manage risk by implementing financial protections within the Marketplace. StageVibes is explicitly authorized to hold, freeze, delay, or restrict payouts to any Seller, or reserve funds within an account balance against anticipated chargebacks. StageVibes may place temporary or prolonged holds on seller funds where fraud, chargebacks, seller or buyer disputes, copyright claims, regulatory compliance requirements, or suspicious transaction activities are reasonably suspected. During the pendency of any fraud or security investigation, StageVibes may pause all fund access, request clarifying documentation from the user, and reverse transactions found to violate platform integrity.

12.6 Chargeback Recovery and Financial Clawbacks

In the event that a Buyer purchases Digital Content, completes the download process, and subsequently files a bad-faith or fraudulent chargeback with their credit card company or banking institution, StageVibes is granted broad recovery powers. StageVibes is explicitly authorized to recover the full transaction amount and gateway penalties directly from the Seller; freeze pending seller payouts across auxiliary accounts; deduct the recovery value from future platform earnings; and pursue collection costs, including third-party collection agency fees and legal disbursements, if an account balance remains negative.

12.7 Marketplace Commission Protection and Anti-Circumvention

Users shall not circumvent, bypass, or avoid StageVibes' commission structures by directing customers or buyers to complete transactions outside the Platform after initial contact, messaging, or discovery has occurred through the Platform. This restriction is particularly strict for artist bookings, live talent hiring, and creative placements initiated via the StageVibes professional network. Any user found redirecting transactions to off-platform channels to avoid fees is subject to immediate account termination.

12.8 Tax Reporting, Withholding, and Disclosures

StageVibes reserves the right to explicitly collect formal tax compliance documentation from Sellers. StageVibes may collect tax information (including W-8/W-9 forms, Social Insurance Numbers, or corporate tax IDs), issue formal tax forms to users, report annual earnings data to national and regional fiscal authorities, and withhold payments or portions thereof where required by local statutory laws or international cross-border compliance mandates.

ARTICLE 13 – PLATFORM FEES AND MODIFICATIONS

13.1 Typology of Service and Platform Fees

In consideration for the provision of the software, hosting infrastructure, user databases, discovery algorithms, and transaction matching systems, StageVibes may assess, charge, or withhold various fees including transaction fees, service fees, subscription fees, listing fees, and storage fees under Article 11.

13.2 Fee Modifications and Adjustment Rights

StageVibes reserves the right, at its sole discretion, to change, adjust, increase, or introduce new fees, commissions, or split structures at any time. Any changes to recurring subscription fees or standard transaction commissions will be published on the Platform, and notice will be delivered to affected Users with reasonable advance notice (commercially targeted at thirty [30] days). Your continued utilization of the Platform or the execution of marketplace transactions after the effective date of a fee modification constitutes absolute acceptance of the revised financial terms.

ARTICLE 14 – REFUND POLICIES AND MANDATORY CONSUMER RIGHTS

14.1 Digital Content Finality Rule

Due to the intangible, volatile, and easily replicable nature of downloadable digital assets, all purchases, licenses, streams, and downloads of Digital Content executed within the Marketplace are final, absolute, and non-refundable, unless explicitly stated otherwise by StageVibes in writing or required by applicable local law.

14.2 Comprehensive No-Refund Scope

Except where technically prevented or legally prohibited by mandatory statutory law, no refunds, credits, chargeback settlements, or proration adjustments shall be issued for lawfully delivered digital music downloads, streaming content, digital masterclasses, instructional videos, downloadable files, any tier of allocated cloud Storage Plans regardless of data utilization, or monthly or annual premium network subscription services.

14.3 Preservation of Mandatory Legal Rights

Nothing contained within these restrictive Terms is intended to limit, exclude, alter, or infringe upon any mandatory consumer protection guarantees, statutory cooling-off windows, or non-waivable legal rights provided to consumers under applicable regional or international laws. In jurisdictions where exclusions of implied warranties or absolute refund bars are restricted, StageVibes' liability and refund obligations shall be restricted to the maximum extent legally permitted by the text of local statutes.

ARTICLE 15 – OFF-PLATFORM TRANSACTIONS AND DISINTERMEDIATION

15.1 Risk Assumption for Off-Platform Conduct

If a User, Artist, Buyer, or Event Presenter chooses to circumvent the Platform's transactional tools and negotiates, executes, or processes payments externally (disintermediation or "off-platform transacting"), they do so entirely at their own personal and financial risk.

15.2 No Duty to Investigate, Monitor, or Arbitrate

StageVibes has absolutely no legal, moral, or administrative obligation to monitor, review, investigate, or intervene in any contractual disputes, unpaid gig fees, undelivered merchandise claims, fraudulent chargebacks, or financial disagreements arising from interactions or payments that occurred outside the formal technical architecture of StageVibes.

15.3 Waiver of Claims and Administrative Remedies

By engaging in off-platform financial transactions initiated via connections made on StageVibes, you hereby explicitly waive any and all rights to file a claim, demand compensation, seek indemnification, or pursue legal remedies against StageVibes, its directors, or affiliates. Furthermore, attempting to divert users away from the StageVibes Marketplace to avoid platform transaction fees constitutes a material breach of user conduct and may result in the immediate, permanent banishment of your Account.

PART 3: FRAUD, USER SAFETY, COPYRIGHT, PRIVACY, MODERATION, AND ENFORCEMENT

ARTICLE 16 – FRAUD WARNING AND SECURITY INSIGHTS

16.1 Acknowledgement of Online Risk

While StageVibes deploys industry-standard security verification, encryption patterns, and moderation safeguards, the global nature of digital networking and e-commerce introduces inherent security risks. By accessing the Platform, you explicitly acknowledge and understand that sophisticated online fraud, deceptive trade practices, and malicious misrepresentations may occur despite our best efforts.

16.2 Typology of Common Industry Risks

As a User, you are advised to maintain active awareness against common digital entertainment industry scams, including identity theft and credential stuffing; phishing and impersonation; fake gig bookings and auditions; payment fraud and chargeback exploitation; and counterfeit content distribution.

16.3 Proactive User Responsibility

To protect your creative business and financial assets, you are strongly encouraged to independently verify the identities of parties offering contracts; utilize formal written service contracts for bookings and collaborations; maintain meticulous digital records; and conduct independent due diligence prior to committing resources or executing contracts.

ARTICLE 17 – USER DUE DILIGENCE AND SOVEREIGN ACCOUNTABILITY

You acknowledge and agree that you bear sole, exclusive, and un-delegable civil and financial responsibility for evaluating, auditing, vetting, and verifying the qualifications, creditworthiness, moral character, and capacity of any user with whom you choose to interact. Your failure to conduct sufficient background research shall not create, imply, or establish any civil, criminal, or administrative liability for StageVibes, its directors, or its tech partners.

ARTICLE 18 – PEER RATINGS AND REVIEWS ECOSYSTEM

18.1 Standards for Community Feedback

StageVibes may provide mechanisms for Users to publish ratings and qualitative text reviews regarding their professional interactions with other users. All reviews and comments must be truthful, accurate, objective, and fair; based entirely on direct, first-hand, documented professional experiences on or through the Platform; and must not contain defamatory statements, vulgar language, unverified personal insults, trade libels, or anti-competitive industry smears.

18.2 Absolute Discretionary Removal Rights

StageVibes reserves the absolute, unreviewable right, at its sole discretion, to remove, archive, hide, or permanently purge any rating or review that is reported or determined to violate these Terms, constitute extortion, represent a conflict of interest, or manipulate the metric integrity of the Platform.

ARTICLE 19 – COPYRIGHT AND INTELLECTUAL PROPERTY POLICY (DMCA COMPLIANCE)

19.1 Strict Infringement Ban

StageVibes operates a zero-tolerance policy regarding the unauthorized distribution of copyrighted works. Users are strictly prohibited from uploading, hosting, streaming, or selling any Content that infringes upon the copyrights, neighboring rights, master rights, or trademark properties of any third party.

19.2 Notice of Infringement (Takedown Requests)

If you are a copyright owner, or an authorized legal agent thereof, and you believe in good faith that any Content hosted on the Platform infringes upon your exclusive intellectual property rights, you may submit a formal written Notification of Infringement to our designated Intellectual Property Officer via email at [email protected]. To be legally valid, your notice must include: an electronic or physical signature of the authorized person; clear identification of the copyrighted work claimed to have been infringed; clear identification of the infringing material and its location on the Platform; your direct contact details; a statement of good faith belief that use of the material is not authorized; and a statement, under penalty of perjury, that the information in the notification is accurate and that you are the lawful owner or authorized to act on behalf of the owner.

19.3 Preemptive Removal and Investigation Pendency

Upon receipt of a structurally valid infringement notice, StageVibes will expeditiously remove, disable access to, or freeze the visibility of the challenged Content. The affected uploading User will be promptly notified. StageVibes reserves the right to keep such materials hidden or disabled pending a comprehensive review, the receipt of a valid legal Counter-Notification, or the formal resolution of the dispute between the adverse parties.

ARTICLE 20 – REPEAT INFRINGER POLICY

In accordance with global digital commerce standards and applicable intellectual property laws, StageVibes enforces a strict Repeat Infringer Policy. If any User or Artist is found to have uploaded infringing material, or has been the subject of multiple valid, uncontested copyright takedown notices on two (2) or more distinct occasions, StageVibes reserves the absolute right, without prior warning or right of appeal, to immediately and permanently suspend the User's Account; restrict the user from creating any future auxiliary or alternative profiles; forfeit, block, or return marketplace balances connected to infringing sales; and purge the user's professional portfolio, history, and reviews from public view.

ARTICLE 21 – USER GENERATED CONTENT AND ATTRIBUTION

21.1 Sole Liability for Media Portfolios

You explicitly acknowledge that all information, music files, data, text, software, tags, metadata, artwork, communications, and other media assets uploaded, posted, or transmitted via StageVibes are the sole and exclusive legal and civil responsibility of the User from whom such content originated.

21.2 Complete Lack of Platform Endorsement

StageVibes does not pre-screen, systematically monitor, review, verify, or rubber-stamp the accuracy, safety, legality, or artistic originality of User-Generated Content. The inclusion of any Artist portfolio, music file, job posting, or festival listing on our Platform does not imply, constitute, or represent an endorsement, sponsorship, recommendation, or warranty by StageVibes.

ARTICLE 22 – CONTENT MODERATION RIGHTS AND SYSTEM RESTRICTIONS

To preserve a safe, secure, and professional networking environment, StageVibes reserves the absolute, unfettered right—but explicitly disclaims any operational obligation—to monitor, review, analyze, algorithmic-scan, flag, or audit any Content or communications published on the Platform. StageVibes retains the right, at its sole and absolute discretion, to remove, delete, or permanently erase any Content deemed violative of these Terms; restrict, demote, shadow-ban, or reduce the algorithmic search visibility of any profile or product listing; and suspend, lock, or terminate any user profile or Account without prior notice, liability, or obligation to provide an administrative explanation.

ARTICLE 23 – COMPREHENSIVE GROUNDS FOR ACCOUNT SUSPENSION

StageVibes may implement immediate account suspension, asset freezing, and communication isolation for fraud; copyright violations; harassment; misrepresentation; illegal activity; or any material breach of these Terms or incorporated policies (including the Privacy Policy and Dedicated Seller Agreement).

ARTICLE 24 – TERMINATION AND EXIT PROTOCOLS

StageVibes reserves the right, at its sole and absolute discretion, for any reason or no reason, without cause, penalty, or prior notice, to permanently terminate your Account, restrict your access to the Platform, and invalidate your login credentials. Upon termination by StageVibes or via your voluntary request, your right to use the interactive services of the Platform immediately ceases. StageVibes shall incur no liability toward you or any third party for the execution of such termination protocols.

ARTICLE 25 – DATA RETENTION AND ARCHIVAL RECORDS

Following the deletion, abandonment, or formal termination of an Account, StageVibes reserves the right to securely retain corporate archives, database logs, communication records, transaction indices, and cryptographic hashes of metadata for as long as necessary to comply with mandatory record-keeping and anti-money laundering laws; defend or resolve legal claims; enforce these Terms and secondary marketplace agreements; and protect the consumer and download-fulfillment rights of past Buyers under Article 10.

ARTICLE 26 – PRIVACY AND DATA PROTECTION

Your privacy is deeply important to us. The collection, transmission, processing, cloud storage, profiling, and distribution of your personal data, payment information, and device identifiers are strictly governed by the comprehensive StageVibes Privacy Policy, which is fully integrated into these Terms. By creating an Account or interacting with the Platform, you explicitly consent to the lawful processing, storage, and distribution of data necessary for the core operational execution of our multi-user entertainment marketplace.

ARTICLE 27 – INTERNATIONAL USERS AND TRANSBORDER COMPLIANCE

StageVibes makes no representations, claims, or warranties that the Platform, its Marketplace features, or its communication tools are lawful, appropriate, or compliant with consumer protection frameworks outside of Canada. If you access StageVibes from jurisdictions within Europe, Africa, Asia, or South America, you do so entirely on your own personal initiative and are solely responsible for compliance with all local laws, cross-border digital service taxes, import/export controls, and digital rights laws.

ARTICLE 27.1 – INTERNATIONAL AND EU/UK COMPLIANCE

For European Union and United Kingdom users, StageVibes respects core Data Subject Rights, including the Right of Access, the Right of Correction, the Right of Data Portability, and lawful processing bases under the GDPR. Users acknowledge that although music uploads are not owned by StageVibes, any song sold to a buyer will remain securely hosted on the StageVibes server even if the selling user's account is subsequently deleted or suspended, ensuring fulfillment continuity for existing buyers under Article 10. EU and UK users may cancel recurring subscriptions at any time via the user dashboard, with access continuing through the end of the current pre-paid billing cycle.

PART 4: DISCLAIMERS, LIABILITY, INDEMNIFICATION, DISPUTE RESOLUTION, AND FINAL PROVISIONS

ARTICLE 28 – COMPREHENSIVE DISCLAIMER OF WARRANTIES

28.1 "As Is" and "As Available" Provision

You explicitly understand, acknowledge, and agree that your use of the StageVibes Platform, its Marketplace, and all contents, services, portfolios, or tools therein is entirely at your own sole and absolute risk. The Platform is provided strictly on an "AS IS" and "AS AVAILABLE" basis, without any modifications, adjustments, or assurances of any kind.

28.2 Full Disclaimer of All Legal Warranties

To the maximum extent permitted under applicable law, StageVibes explicitly and systematically disclaims all warranties, conditions, representations, and guarantees of any kind, whether express, implied, statutory, or oral, including implied warranties of merchantability, fitness for a particular purpose, non-infringement, continuous availability, and accuracy or reliability of data, job listings, artist profiles, bio descriptions, or financial calculations.

28.3 No Music Royalty or Rights Administration Disclaimer

StageVibes operates exclusively as a marketplace technology conduit. Users explicitly understand and agree that StageVibes does not collect royalties, register musical works, or administer music publishing. StageVibes does not register tracks or works with performing rights organizations (e.g., SOCAN, ASCAP, BMI, PRS), collective management organizations, mechanical rights agencies, neighboring rights agencies, traditional music publishers, or royalty collection societies. Artists are solely responsible for registering their own creative products to collect underlying mechanical, performance, or neighboring rights payouts worldwide.

ARTICLE 29 – NO GUARANTEE OF CAREER OR COMMERCIAL RESULTS

StageVibes operates strictly as an interactive digital networking medium and tech infrastructure. StageVibes does not make any promises, representation, or guarantees regarding your career advancement, financial success, or musical recognition. Using StageVibes provides zero guarantees regarding securing professional employment, live festival bookings, music sales, streaming numbers, licensing royalties, minimum baseline revenue, corporate sponsorship agreements, grant funding, digital audience growth, social media followers, or media charting positions.

ARTICLE 30 – EXCLUSION OF CONSEQUENTIAL AND INDIRECT DAMAGES

To the maximum extent permitted by applicable statutory law, under no circumstances shall StageVibes, its parent corporations, subsidiaries, founders, directors, shareholders, employees, independent contractors, or technical partners be held liable to any User or third party for any indirect, incidental, special, exemplary, consequential, reliance, or punitive damages whatsoever, including lost profits, lost business opportunities, loss of goodwill, loss of proprietary data, corruption of audio masters, tech downtime costs, or harm resulting from off-platform meetings or real-world collaborations. This exclusion remains fully applicable even if StageVibes has been explicitly advised of the potential occurrence of such losses or damages.

ARTICLE 31 – MAXIMUM AGGREGATE LIABILITY CAP

In the event that StageVibes is found liable by a court of competent jurisdiction under any cause of action despite the extensive disclaimers contained herein, StageVibes' maximum, cumulative, comprehensive aggregate liability to you or any party claiming through you for any and all claims, lawsuits, damages, or arbitrations shall be strictly capped and limited to the greater of: (a) One Hundred Canadian Dollars (CAD $100.00); or (b) the actual net aggregate fees paid by you to StageVibes for your platform subscriptions or storage plans during the specific twelve (12) month period immediately preceding the date on which the initial event giving rise to the liability occurred.

ARTICLE 32 – COMPREHENSIVE USER INDEMNIFICATION

You hereby agree to defend, indemnify, protect, and hold completely harmless StageVibes, its parent entities, subsidiaries, affiliates, successors, assigns, directors, officers, employees, agents, and independent contractors from and against any and all civil claims, administrative actions, lawsuits, demands, liabilities, damages, financial losses, regulatory fines, judgements, settlements, costs, and expenses (including reasonable external legal defense fees, court costs, and forensic accounting disbursements) arising directly or indirectly out of your User-Generated Content; your conduct and interactions with other platform users; any claim that your Content infringes third-party rights; allegations of fraud or bad-faith contract execution; or your material breach of these Terms or incorporated operational policies.

ARTICLE 33 – FORCE MAJEURE (PREVENTION OF PERFORMANCE)

StageVibes shall be entirely excused from, and shall not be held liable or responsible for, any delay, technical failure, loss of service, or non-performance of its obligations under these Terms resulting directly or indirectly from acts, events, or contingencies beyond its reasonable control, including natural disasters, fires, floods, earthquakes, pandemics, acts of war, civil insurrections, riots, labor disputes, binding government orders, global internet routing failures, regional utility outages, or malicious cyber-attacks.

ARTICLE 34 – DISPUTE RESOLUTION AND MANDATORY INFORMAL NEGOTIATION

34.1 Commitment to Informal Resolution

StageVibes values its creative community and aims to resolve operational disputes quickly and amicably. You explicitly agree that in the event of any legal dispute, controversy, claim, or interpretation issue arising out of or relating to these Terms, your Account, or your transactions within the Marketplace, both parties shall first attempt in good faith to resolve the matter through informal, bilateral business negotiations.

34.2 Notice of Dispute and Resolution Window

The party asserting a dispute must transmit a comprehensive, written "Notice of Dispute" to the other party detailing the facts, background, and specific financial or administrative remedy sought. For notices directed to StageVibes, they must be transmitted to [email protected]. Following delivery of the Notice of Dispute, both parties agree to pause all escalation and dedicate a minimum period of thirty (30) calendar days to conducting good-faith informal negotiations before initiating any formal judicial proceedings or filing lawsuits.

34.3 Alternative Dispute Resolution (ADR) and Arbitration Option

If a dispute cannot be resolved informally within thirty (30) days via the mandatory negotiation pathway, StageVibes may, at its sole discretion, elect to resolve the matter via binding, individual arbitration rather than traditional court litigation. Such arbitration shall be conducted in Toronto, Ontario, in accordance with the Arbitration Act (Ontario), and will be finalized under streamlined single-arbitrator rules to mitigate litigation costs. Small claims exceptions are preserved for matters falling completely within the monetary jurisdiction of the Ontario Small Claims Court.

ARTICLE 35 – GOVERNING LAW AND LEGAL FRAMEWORK

These Terms of Service, along with all incorporated operational guidelines, marketplace policies, privacy rules, and any external disputes arising directly or indirectly from your use of the Platform, shall be governed by, interpreted, construed, and enforced in strict accordance with the laws of the Province of Ontario, Canada, and the federal laws of Canada applicable therein, without giving effect to any principles or rules of conflict of laws that would direct the application of the statutes of any alternative jurisdiction.

ARTICLE 36 – JUDICIAL JURISDICTION AND CLASS ACTION WAIVER

36.1 Exclusive Judicial Jurisdiction

Except where strictly prohibited by mandatory, non-waivable local consumer protection statutes, you and StageVibes explicitly agree that any formal legal action, lawsuit, enforcement proceeding, or judicial hearing permitted under these Terms after the exhaustion of informal negotiations shall be instituted and maintained exclusively within the courts of competent jurisdiction located in the City of Toronto, Province of Ontario, Canada. You hereby irrevocably submit and consent to the personal and exclusive venue of such Ontario courts and waive any objections based on inconvenient forum (forum non conveniens).

36.2 Class Action and Collective Proceeding Waiver

To the maximum extent permitted by applicable law, you and StageVibes explicitly agree that any dispute resolution or legal proceedings shall be conducted strictly on an individual basis, and not in a class, consolidated, collective, or representative action. You hereby waive any right to participate as a class representative or class member in any class action lawsuit, class-wide arbitration, or collective proceeding brought against StageVibes.

36.3 Limitation on Injunctive Relief for IP Disputes

For any intellectual property disputes or urgent copyright matters, StageVibes reserves the right to seek immediate injunctive relief against an infringing user in a court of competent jurisdiction without the operational requirement of posting security, filing a bond, or proving irreparable harm.

ARTICLE 37 – STRUCTURAL SEVERABILITY OF PROVISIONS

If any specific provision, article, clause, sub-section, or phrase contained within these Terms of Service is held by a court of competent jurisdiction or administrative tribunal to be invalid, illegal, void, or legally unenforceable, such determination shall have absolutely no effect on the remaining portions of this document. The unenforceable provision shall be severed or modified to the minimum extent necessary to make it valid and enforceable, and all remaining provisions of these Terms shall continue in full force, validity, and legal effect.

ARTICLE 38 – ENTIRE CONSOLIDATED AGREEMENT

These comprehensive Terms of Service, in conjunction with the integrated Privacy Policy, Seller Agreement, Copyright Policy, and any specialized electronic checkout terms, constitute the entire, absolute, unified, and exclusive contractual agreement between you and StageVibes regarding your use, browsing, testing, and transaction processing on the Platform. This document completely supersedes and replaces all prior or contemporaneous verbal discussions, written proposals, email negotiations, advertisements, or marketing statements exchanged between the parties concerning this subject matter.

ARTICLE 39 – ASSIGNMENT AND DELEGATION RIGHTS

39.1 Assignment by StageVibes

StageVibes reserves the absolute right, without requiring user consent, notification, or approval, to assign, transfer, delegate, or alienate these Terms of Service, along with all associated user accounts, asset databases, marketplace contracts, and data profiles, to any successor entity, corporate affiliate, parent corporation, or third-party purchaser acquiring all or substantially all of StageVibes' operational assets.

39.2 Assignment Prohibition for Users

Conversely, your Account, your platform rights, and your obligations under these Terms are strictly personal and unique to you. You are explicitly prohibited from assigning, delegating, licensing, or transferring your Account or contractual rights to any other individual or entity without the express, prior written authorization of StageVibes. Any unauthorized attempt at contract assignment shall be deemed immediately null, void, and a material breach of these Terms.

ARTICLE 40 – ANTI-PIRACY, ENFORCEMENT, AND BUYER LICENSING

40.1 Prohibition of Digital Piracy

Users are strictly prohibited from engaging in any activity that compromises the digital rights, copyrights, or files of platform creators. StageVibes explicitly prohibits DRM circumvention; sharing or distributing direct source download links with non-purchasing users; credential sharing to allow third parties to download or stream premium content; unauthorized redistribution of purchased content; and distributing or seeding any StageVibes digital files via torrent networks or public cloud directories.

ARTICLE 41 – BUYER LICENSE TERMS (PERSONAL USE ONLY)

When a Buyer purchases a musical upload or digital track through the Marketplace, they are not purchasing ownership of the file, master recording, or underlying composition. Instead, they are purchasing a restricted, non-transferable, revocable Personal License. Allowed actions include downloading the digital file to a personal device, storing the file securely within personal hardware or cloud lockers, and playing and listening to the track for non-commercial, private, personal entertainment purposes. Prohibited actions include commercial use, redistribution, re-uploading to third-party platforms, and creating NFTs, crypto-tokens, digital collectibles, or AI training datasets utilizing the content.

ARTICLE 42 – ARTIFICIAL INTELLIGENCE CONTENT AND TRAINING POLICY

42.1 Upload Eligibility of AI-Generated Content

Musical tracks, stems, or creative assets that utilize or are generated by Artificial Intelligence tools may be uploaded to StageVibes, provided that the uploading individual is the lawful creator of the prompt sequence/AI configuration and uniquely owns or has fully cleared all underlying copyrights, samples, and training rights embedded in the final audio output.

42.2 Mandatory Disclosure

Sellers must explicitly disclose whether a musical upload is AI-generated or heavily incorporates generative AI vocals, instruments, or synthetic mastering. Such content must be accurately labeled within the upload dashboard metadata tag to ensure transparency across the marketplace.

42.3 Ownership of AI Output

StageVibes claims no ownership over AI content. The creator of the content retains ownership of the underlying proprietary rights, subject to their compliance with the terms of whichever third-party AI generation tool was utilized to build the track.

42.4 Absolute AI Training Prohibition

Users are strictly prohibited from utilizing any Content, text, data, audio tracks, stems, or metadata hosted on StageVibes to train, fine-tune, or develop artificial intelligence models, machine learning algorithms, large language models (LLMs), or voice-synthesis systems. Scraping or harvesting platform data for AI training sets constitutes a severe material breach and a violation of copyright law.

ARTICLE 43 – OPERATIONAL DISCOVERY AND COMPLIANCE

43.1 Cloud Storage Service-Level Disclaimer

StageVibes provides cloud allocations as an operational convenience for active workflows. StageVibes does not warrant or guarantee that storage plans are immune to data loss, server failures, or technical corruption. StageVibes is not a primary archival service. Users are strictly required to maintain independent, external physical or cloud backups of all master recordings, tracking files, and session items. StageVibes explicitly disclaims any liability for lost or deleted audio data.

ARTICLE 44 – ACCOUNT INACTIVITY AND ABANDONED BALANCES POLICY

To maintain clean database systems, StageVibes implements a fair and transparent policy for inactive profiles. An account is deemed a Dormant Account if the user fails to log in, interact with the platform, or execute a transaction for a continuous period of two (2) years. Content associated with dormant accounts may be labeled as Inactive Content and removed from active marketplace indexing. If a Dormant Account contains an active, positive financial balance, StageVibes will make reasonable, documented commercial efforts to contact the user via their registered email address. If the user cannot be reached and the account remains completely inactive for a continuous period of two (2) years, StageVibes reserves the right to close the account permanently and manage any remaining balance in compliance with provincial or local unclaimed property laws.
