PART 1: DEDICATED SELLER AGREEMENT

STAGEVIBES DIGITAL MARKETPLACE SELLER AGREEMENT

This Digital Marketplace Seller Agreement ("Seller Agreement") governs your commercial activities as a Seller on StageVibes.com. By uploading, listing, or selling musical content on the Platform, you agree to this Seller Agreement in addition to the overarching StageVibes Terms of Service.

1. Artist and Creator Obligations

Sellers are solely responsible for the technical configuration, pricing, and metadata accuracy of all uploaded musical content. Sellers must maintain active, accurate payout account details with StageVibes' designated third-party payment processors.

2. Intellectual Property Ownership and Split-Track Warranties

Sellers must own or hold the exclusive worldwide rights to all master recordings, underlying musical compositions, lyrics, and artwork embedded within their uploads.

  • Collaborative Uploads: In the case of collaborations, split-tracks, or multi-artist projects, only the lead producer or lead artist is permitted to upload the content to StageVibes.
  • Indemnification and Distribution: The uploading user warrants that they possess express written permission from all collaborators to monetize the track. The uploading user assumes full, exclusive responsibility for distributing all underlying commissions, mechanical royalties, or split revenue shares to any and all other collaborators. StageVibes explicitly disclaims any liability or obligation to manage or referee internal collaborator disputes.

3. Revenue Sharing and Commission Structure

  • StageVibes Commission: StageVibes retains a fixed commission of up to 15% off the gross sale price of each musical upload processed via the Platform.
  • Third-Party Gateways (Google & Apple): For transactions completed through mobile applications or respective ecosystem stores, Google and Apple levy separate processing percentages in addition to StageVibes' fee. These fees typically range between 15% and 30%. Sellers explicitly acknowledge that StageVibes does not control, set, or mitigate the marketplace charges levied by Google and Apple, and such fees will be deducted from the seller's gross payout where applicable.

4. Payout Holds and Processing Escrows

To manage platform stability, verify transaction security, and comply with third-party store policies, all marketplace earnings are subject to operational holds:

  • Mobile Ecosystem Hold: Revenue generated via Google Play Store or Apple App Store purchases is subject to a standard two (2) month administrative payout hold enforced by Google and Apple before funds are released to StageVibes for seller disbursement.
  • General Holds: StageVibes reserves the right to impose additional security holds as detailed in the Payment Hold and Escrow provisions of the Terms of Service.

5. Tax Obligations

Sellers bear absolute, exclusive liability for all local, national, and international tax compliance resulting from their sales. Users are strictly responsible to report, cover, and remit all local consumption taxes, income taxes, and regional transactional levies to their respective domestic fiscal authorities. StageVibes operates solely as an intermediary and will not calculate or remit taxes on behalf of Sellers.

6. Chargeback Responsibility and Financial Penalties

If a Buyer files a chargeback, payment reversal, or fraud dispute with their financial institution regarding a purchased musical upload, the Seller assumes full financial responsibility. The amount of the disputed transaction, alongside any processing or administrative penalties levied by the merchant gateway, will be clawed back directly from the Seller's active or future account balance.

7. Seller Dispute Resolution

Any commercial disputes arising between two or more Sellers regarding content duplicates, sample allocation, or revenue splitting must be handled independently by the affected parties. StageVibes reserves the right to freeze the funds and visibility of any disputed musical assets pending a mutual settlement or final judicial determination.

8. Seller Account Suspension and Asset Freezing

StageVibes maintains a zero-tolerance policy for marketplace manipulation. A Seller's account will be immediately suspended or permanently terminated, and all pending marketplace payouts frozen, if:

  • Fraudulent activity, streaming manipulation, or payment exploitation is discovered.
  • The user fails to abide by the rules, regulations, and behavioural standards set forth within the StageVibes Terms of Service and Community Guidelines.
